Acceptance of Terms

By accessing this website, engaging our services, purchasing “The Next Principles Alignment System™,” attending or booking a speaking engagement, or otherwise interacting with Next Principles Consulting (“Next Principles,” “we,” “us,” or “our”), you (“Client,” “you”) agree to be bound by these Terms of Service (“Terms”). If you do not agree, please do not use our services.

Description of Services

Next Principles Consulting provides organizational strategy, leadership development, and execution consulting services to CEOs, CHROs, and organizational leaders. Our services include, without limitation:

  • The Next Principles Alignment System™ — our proprietary consulting methodology/program designed to diagnose and resolve systemic issues affecting performance, retention, and execution within client organizations.
  • General Advisory & Consulting Engagements — bespoke consulting arrangements outside the Alignment System™ offer, scoped per engagement.
  • Speaking Engagements — keynote, workshop, and panel speaking services delivered by Dr. Steven Uwajeh or authorized representatives of Next Principles Consulting.
  • Insights Resources — published articles, curated third-party content (including but not limited to externally hosted academic papers and online courses), and other educational materials made available via our website.
  • Any other engagement offered under the Next Principles Consulting brand from time to time.

The specific scope, deliverables, timeline, and fees for any consulting or speaking engagement will be set out in a separate written agreement, proposal, or statement of work (“Engagement Agreement”), which forms part of these Terms once signed or otherwise accepted by both parties.

The Next Principles Alignment System™

“The Next Principles Alignment System™” is a proprietary trademark and methodology owned by Next Principles Consulting. Client’s engagement of this offer does not transfer any ownership of the underlying methodology, frameworks, tools, or materials used in its delivery. Client receives a limited, non-transferable license to use any materials provided solely for internal organizational use, unless otherwise agreed in writing.

Representative Results Disclaimer

Any statistics, case studies, or “representative results” published on our website or shared during a sales or consulting process (including but not limited to figures on recruitment cost reduction, employee engagement, or operational efficiency) reflect outcomes achieved by specific past clients under specific circumstances. These figures are illustrative only and do not constitute a guarantee, promise, or warranty of any particular result for any future client. Actual outcomes depend on numerous factors outside our control, including but not limited to Client’s internal execution, resource allocation, organizational buy-in, and market conditions.

Client Responsibilities

Client agrees to:

  • Provide timely, accurate, and complete information reasonably requested to deliver the engaged services.

  • Designate an internal point of contact with sufficient authority to make decisions related to the engagement.

  • Engage in good faith with recommendations, frameworks, or deliverables provided.

  • Make payments per the agreed schedule in the applicable Engagement Agreement.

 

Fees & Payment

Fees for consulting engagements, the Alignment System™, and speaking engagements are set out individually in each Engagement Agreement and are due per the schedule specified therein. Unless otherwise stated in writing, all fees are non-refundable once services have commenced. [Insert specific refund/cancellation policy, deposit terms, and late payment terms here.]

Speaking Engagements — Additional Terms

  • Booking a speaking engagement requires a signed Engagement Agreement or booking confirmation specifying date, format (virtual/in-person), fee, and any travel/accommodation terms.

  • Cancellations by the booking party within [X days] of the scheduled engagement may be subject to a cancellation fee as specified in the relevant booking confirmation.

  • Next Principles Consulting reserves the right to reschedule due to illness, emergency, or force majeure events, with reasonable advance notice where possible.

Insights Resources & Third-Party Content

Our “Insights” section may reference, link to, or aggregate content originally published by third parties, including but not limited to academic papers hosted on SSRN and courses hosted on Udemy. Next Principles Consulting does not own, control, or guarantee the accuracy, availability, or continued existence of this third-party content. Links to external platforms are provided for informational purposes; use of those external platforms is governed by their own respective terms of service, not these Terms. Any purchase of a linked course or access to a linked paper is a transaction between you and that third-party platform, not with Next Principles Consulting.

Intellectual Property

All original content on this website — including but not limited to written articles, frameworks, the Next Principles Alignment System™ name and methodology, logos, and branding — is the property of Next Principles Consulting and may not be reproduced, distributed, or used commercially without prior written consent.

Confidentiality

Both parties agree to keep confidential any proprietary, financial, or business information disclosed during the course of an engagement, and not to disclose such information to third parties without prior written consent, except as required by law. This obligation survives termination of any Engagement Agreement.

Limitation of Liability

To the fullest extent permitted by law, Next Principles Consulting’s total liability arising from or related to any engagement shall not exceed the total fees paid by Client for the specific engagement giving rise to the claim. Next Principles Consulting shall not be liable for indirect, incidental, consequential, or special damages, including lost profits or lost business opportunities.

Termination

Either party may terminate an active Engagement Agreement per the notice terms specified therein. Fees for services rendered up to the point of termination remain payable.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of U.S. states

Changes to These Terms

We reserve the right to update these Terms at any time. Continued use of our website or services after changes are posted constitutes acceptance of the revised Terms.
